Outrent's Role

You agree and understand that www.outrent.in is an internet enabled electronic platform that facilitates communication for the purposes of advertising and distributing information pertaining to goods and/ or services. You further agree and understand that we do not at any point in time come into possession of or engage in the distribution of any of the goods and/ or services, you have posted, listed or provided information about on our site. We only offer you the right to use the platform but the users are entering into an agreement directly with each other.

Outrent is not and does not become a party to or other participant in any contractual relationship between users. Outrent is not acting as an agent for any user except for where Outrent Payments acts as a collection agent as provided in the Terms & Conditions. While we work hard to ensure our Users have great experiences using Outrent, we do not and cannot control the conduct or performance of Lenders and Borrowers and do not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings, goods/services or (ii) the truth or accuracy of any Listing descriptions, Reviews, or other Content provided by Users. You acknowledge that Outrent has no general obligation to monitor the use of the Outrent Platform and verify information provided by our Users, but has the right to review, disable access to, remove, or edit Content to: (i) operate, secure and improve the Outrent Platform (including for fraud prevention, risk assessment, investigation and customer support purposes); (ii) ensure Users compliance with these Terms; (iii) comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or governmental body; (iv) address Member Content that we determine is harmful or objectionable; (v) take actions set out in these Terms; and (vi) maintain and enforce any quality or eligibility criteria, including by removing Listings that don't meet quality and eligibility criteria.

We may remove or disable Content and may also not notify the user nor provide the reasons for such a measure, if such notification would (i) prevent or impede the detection or prevention of fraud or other illegal activities, (ii) harm the legitimate interests of other Users or third parties, or (iii) contravene applicable laws. You may appeal such a decision by contacting our customer service at [email protected].

Users agree to cooperate with and assist Outrent in good faith, and to provide Outrent with such information and take such actions as may be reasonably requested by Outrent with respect to any investigation undertaken by Outrent regarding the use or abuse of the Outrent Platform. Outrent is not responsible for ensuring that items conform to any descriptions provided, are fit for purpose and safe to use. If you are a Lender, you will be responsible for any items you rent to other users through the Outrent platform. If you are a borrower, you will be responsible for any items you hire through the Outrent platform, including compensating the lender for any loss or damage to those items. You will also be responsible for any damage you cause to other people or property when you use those items. While interacting with other users on our site, with respect to any listing, posting or information we strongly encourage you to exercise reasonable diligence as you would in traditional off line channels and practice judgment and common sense before committing to or complete intended transaction of any goods or services or exchange of information.

Information

You agree that you are the lawful owner having all rights, title and interest in your information, and further agree that you are solely responsible and accountable for Your Information and that we act as a mere platform for your online distribution and publication of Your Information. By using Outrent, you agree to the collection, transfer, storage and use of any personal information provided by you on the Site by Outrent. The data is stored and controlled on servers located as further described in our Privacy Policy. You also agree to receive marketing communications from us unless you specifically indicate otherwise in writing to us through [email protected]. You agree that Outrent may use information shared by you to provide customer services and to understand if any other services or advertisement listed on Outrent website may interest you.

You agree that, we may share personally identifiable data of any individual to our agents or recruiters or Affiliates defined as any person directly or indirectly controlling, controlled by, or under direct or indirect common control with, Outrent, including its subsidiaries and associate companies.

User privacy is important to us. You should read our Privacy Policy to understand how we collect, use and share information about you.

Eligibility

To access the Outrent platform, you must register an account to access and use many features of the Outrent Platform and set up an account using your email address. You will need to create a password for your Account, we encourage you to use "strong" passwords (passwords that use a combination of upper- and lower-case letters, numbers and symbols) with your Account. Registration is only permitted for legal entities who are citizen of India, partnerships and natural persons who are 18 years or older. You represent and warrant that you are not a person or entity barred from using the Outrent Platform under the laws of India, your place of residence, or any other applicable jurisdiction. You must provide accurate, current, and complete information during registration and keep your account information up-to-date. You may not register more than one account or transfer your account to someone else. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party. You must immediately notify Outrent if you suspect that your credentials have been lost, stolen, or your account is otherwise compromised.

You are responsible and liable for activities conducted through your Outrent Account, unless such activities are not authorized by you and you are not otherwise negligent (such as failing to report the unauthorized use or loss of your credentials). If and as permitted by applicable law, we may, but have no obligation to (i) ask you to provide identification or other information, (ii) undertake checks designed to help verify your identity or background, (iii) screen you against third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public records of criminal convictions or sex offender registrations or their local equivalents. If you have any concerns that your Account may have been misused, you should contact us at [email protected] straight away to let us know.

Use

The materials and content comprising the Outrent platform belong to us or our third-party licensors, and we give you permission to use these materials and content for the sole purpose of using the Outrent platform in accordance with these Terms & Conditions. Your right to use the Outrent platform is personal to you and you are not allowed to give this right to any other person. Your right to use the Outrent platform does not stop us from giving other people the right to use or attempt to copy the Outrent platform or App or any other portion of the Outrent Platform. It does not give you the right to give or sell or otherwise make available the Outrent App or any other portion of the Outrent Platform to anybody else; neither change, or attempt to change the Outrent App or any other portion of the Outrent Platform in any way. It does not give you the right to look for or access the code of the Outrent App or any other portion of the Outrent Platform that we have not expressly published publicly for general use. You agree that all confidential information, copyright and other intellectual property rights in the Outrent App or any other portion of the Outrent Platform belong to us or the people who have licenced those rights to us. You agree that you have no rights in or to the Outrent App or any other portion of the Outrent Platform other than the right to use and access them in accordance with these Terms & Conditions.

Lender & Borrower Terms

Lender Terms:

You agree that in the event your listing, posting or your information violates any provision of this Terms & Conditions, we shall have the right to disable the offending content, terminate and or suspend your membership of the Site and refuse to provide you or any person acting on your behalf, access to the Site. You must not offer to lend through the Outrent platform any firearms, weapons, pornography, mature content, animals or any items that it would be illegal to offer for hire. We may remove any items offered for hire from the Outrent Platform if we believe such items are illegal, immoral or damaging to our reputation.

You are responsible for ensuring that: (a) you have all necessary rights to hire out any items you advertise on the Outrent Platform, and that the borrower's use of those items will not infringe any other party's rights; (b) you deliver any hired items to the borrower in accordance with the agreement you reach with the borrower; (c) any descriptions of the items you advertise for hire through the Outrent Platform are accurate and include all information relevant to the use of the item, including (as appropriate): (i) notice of any defects, restrictions or other requirements that may apply to the use of the item; and (ii) any instructions or notices that may reasonably be required to use the item safely; (d) the items you advertise on the Outrent Platform: (i) conform in all material respects to any pictures or descriptions that you upload to the Outrent Platform; (ii) are safe to use in accordance with any reasonable instructions that you provide to the borrower; (iii) are fit for any purpose for which such items would normally be used, or any purpose communicated to you by the borrower; (iv) can be legally offered for hire. (e) any rental item is only handed over to the borrower after the transaction(s) are approved by the Outrent Verification process. You must only handover the item to the person verified by Outrent, no third parties.

If you offer space for hire, you must also ensure that the space is accessible safely and legally, that it is secure and free from leaks and/or excessive heat or cold. You will be responsible for any damage to any of the buyer's items that are left in your storage area. You will be responsible for any damage the borrower or any other person may suffer as a result of any defect in the item they have borrowed from you, or for any failure to comply with the requirements. You are free to agree any other terms on which you hire an item to a borrower, including the price you wish to charge to the borrower for hiring your item for the relevant hire period (the "Hire Fee"). When you post items for hire on the Outrent Platform, you must ensure that the Hire Fee you advertise on your listing is the total price payable for hiring your items, including any applicable taxes or costs of delivery. Once you agree the terms on which you will lend an item to a borrower, you must not try to amend those terms (including the price) unless you have a valid, justifiable reason for doing so and the borrower agrees to those amended terms. You can remove a listing or cancel your agreement to lend an item to a borrower at any time before the start of the relevant hire period.

Your relationship with Outrent is that of an independent individual or entity and not an employee, agent, joint venturer or partner of Outrent, except that Outrent Payments acts as a payment collection agent as described in the Payments Terms. Outrent does not direct or control your lender service and you understand that you have complete discretion whether and when to provide lender services and at what price and on what terms to offer them.

You are responsible for your own acts and omissions and are also responsible for the acts and omissions of anyone you allow to participate in providing your lender services. You are responsible for setting your price and establishing rules and requirements for your Listing. Do not encourage borrowers to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Outrent Platform in violation of our Platform Policy.

Borrower Terms:

You agree that in the event of your borrowing or your information violates any provision of this Terms & Conditions, we shall have the right to disable, terminate and or suspend your membership of the site and refuse to provide you or any person acting on your behalf, access to the site. When you agree to hire an item with a lender, the lender grants you a limited right to use that item for the relevant hire period. This right is personal to you and you are not allowed to give this right to any other person. You are responsible for ensuring that: (a) you are legally allowed to use any item that you borrow through the Outrent Platform; (b) you comply with all applicable law when using the item; (c) you comply with any reasonable directions provided by the lender in order to use the item safely; (d) you return the item in the same condition as it was in when you collected it from the lender.

If you hire a storage space through the Outrent Platform, you must ensure that the items you store are not flammable, dangerous or hazardous to people or animals. You will be responsible for any damage caused to the storage space, the lender or any other person or property as a result of your use of any storage space you hire through the Outrent Platform. You are free to agree with the lender how you will return any items you have hired to the lender; however, you must ensure that return any items you have hired to the lender before your hire period ends. You will be responsible for any loss of or damage to the item you have hired. You can cancel a request to borrow an item at any time before the request is accepted by the lender after the request is submitted. If you fail to return an item by the agreed deadline you must contact the lender and notify them as soon as you are aware you are going to miss the deadline. If you miss the agreed deadline for return and are uncommunicative with the lender, or we have reason to believe you have caused damage to the item, you agree that the Lender can take a holding deposit from your account up to the full value of the items you have rented ("Security Deposit"). This deposit will be fully refundable, less any fees owed to the lender, once the items are returned, replaced or repaired. You are responsible for your own acts and omissions.

Do not encourage lenders to create third-party accounts, submit reviews, provide their contact information, or take other actions outside the Outrent Platform in violation of our Platform Policy.

Content

You acknowledge and agree that you are solely responsible for your own Content posted on, transmitted through, or linked from the Outrent Platform and the consequences of posting, transmitting, linking, or publishing it. Parts of the Outrent Platform enable you to provide feedback, text, photos, audio, video, information and other content ("Content"). By providing Content, in whatever form and through whatever means, you grant Outrent a non-exclusive, worldwide, royalty-free, sub-licensable and transferable license, for the term of the protection of the rights so licensed, to access, use, store, copy, modify, prepare derivative works of, distribute, publish, transmit, stream, broadcast, and otherwise exploit in any manner such Content to provide and/or promote the Outrent Platform, in any media or platform, known or unknown to date and in particular on Internet and social networks. If Content includes personal information, such Content will only be used for these purposes if such use complies with applicable data protection laws in accordance with our Privacy Policy. Outrent may own that Content where Outrent pays for the creation of Content or facilitates its creation. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Outrent the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party. Content must comply with policy which prohibits, among other things, discriminatory, obscene, harassing, deceptive, violent and illegal content. You agree that Outrent may make available services or automated tools to translate Content and that your Content may be translated using such services or tools. Outrent does not guarantee the accuracy or quality of translations and users are responsible for confirming the accuracy of such translations.

The following content is not allowed on Outrent: (a) Content created solely for the purpose of advertising or other commercial content, including company logos, links, or company names (b) Spam, unwanted contact, or content that is shared repeatedly in a disruptive manner (c) Content that endorses or promotes illegal or harmful activity, or that is sexually explicit, violent, graphic, threatening, or harassing (d) Content that is discriminatory (e) Attempts to impersonate another person, account, or entity, including a representative of Outrent (f) Content that is illegal or that violates another person's or entity's rights, including intellectual property rights and privacy right (g) Content that includes another person's private or confidential information, including content that is sufficient to identify a listing's location (h) Listings and profiles that provide fraudulent, false, misleading, or deceptive information (i) Reviews that are biased and exhibit indications of extortion/incentivisation, conflicts of interest, or direct competition (j) Reviews that contain no relevant information about a lender or borrower, listing may be removed. Reviews that contain mostly irrelevant information are also subject to removal.

Further, at its sole discretion, Outrent reserves the right to decide whether any content is appropriate and complies with these Terms.

Modification to the Platform

We are constantly updating and improving the Outrent Platform to try and find ways to provide you with new and innovative features and platforms. Improvements and updates are also made to reflect changing technologies, tastes, behaviours and the way people use the Internet and the Outrent Platform. In order to do this, we may need to update, reset, stop offering and/or supporting a particular part of the Outrent Platform, or feature relating to the Outrent Platform ("changes to the Outrent Platform"). These changes to the Outrent Platform may affect your past activities on the Outrent Platform, features that you use, your User Content and any other information you submit to the Outrent Platform ("Platform Elements"). Any changes to the Outrent Platform could involve your Platform Elements being deleted or reset. Outrent may, in its sole discretion, modify or update these Terms from time to time, and so you should review this page periodically. Your continued use of the Outrent Platform after any such change constitutes your acceptance of the new Terms of Use. If you do not agree to any of these terms or any future Terms of Use, do not use or access (or continue to access) the Outrent Platform. You are always free to stop using the Outrent Platform.

Outrent Platform Rules

You must follow these rules and must not help or induce others to break or circumvent these rules. (a) Act with integrity and treat others with respect. (b) Do not lie, misrepresent something or someone, or pretend to be someone else. (c) Be polite and respectful when you communicate or interact with others. (d) Follow our Non-discrimination Policy and do not discriminate against or harass others.

Do not scrape, hack, reverse engineer, compromise or impair the Outrent Platform. (a) Do not use bots, crawlers, scrapers or other automated means to access or collect data or other content from or otherwise interact with the Outrent Platform. (b) Do not hack, avoid, remove, impair, or otherwise attempt to circumvent any security or technological measure used to protect the Outrent Platform or Content. (c) Do not decipher, decompile, disassemble or reverse engineer any of the software or hardware used to provide the Outrent Platform. (d) Do not take any action that could damage or adversely affect the performance or proper functioning of the Outrent Platform.

Do not use the Outrent Platform, our messaging tools, or Members's personal information to send commercial messages without their express consent. You may use Content made available through the Outrent Platform solely as necessary to enable your use of the Outrent Platform as a borrower or Lender. Do not use Content unless you have permission from the Content owner or the use is authorized by us in these Terms or another agreement you have with us. Do not request, make or accept a booking or any payment outside of the Outrent Platform to avoid paying fees, taxes or for any other reason. Do not require or encourage users to open an account, leave a review, or otherwise interact, with a third party website, application or service before, during or after a reservation, unless authorized by Outrent. Do not engage in any practices that are intended to manipulate our search algorithm. Do not use, copy, display, mirror or frame the Outrent Platform, any Content, any Outrent branding, or any page layout or design without our consent. Do not impersonate another person or otherwise misrepresent your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity

Honor your legal obligations, (a) Understand and follow the laws that apply to you, including privacy, data protection, and export laws. (b) If you provide us with someone else's personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information (c) Do not organize or facilitate unauthorized parties or events. You are responsible and liable for any party or event during your reservation that violates our Terms & Conditions, as incorporated by reference herein. (d) Do not use the name, logo, branding, or trademarks of Outrent or others without permission. (e) Do not use or register any domain name, social media handle, trade name, trademark, branding, logo or other source identifier that may be confused with Outrent branding. (f) Do not offer Host Services that violate the laws or agreements that apply to you. (g) Do not offer or solicit prostitution or participate in or facilitate human trafficking.

Third-Party Links and Information

Outrent may provide, on its site, links to sites operated by other entities. If the user decides to view this site, they shall do so at their own risk, subject to that site's terms and conditions of use and privacy policy that may be different from those of this site. It is the user's responsibility to take all protective measures to guard against viruses or other destructive elements they may encounter on these sites. Outrent makes no warranty or representation regarding, and do not endorse any linked website or the information appearing thereon or any of the products or services described thereon.

Further, user's interactions with organizations and/or individuals found on or through the service, including payment and delivery of goods and services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between the user and such organization and/or individual. The user should make whatever investigation they feel necessary or appropriate before proceeding with any offline or online transaction with any of these third parties

Modification of Terms & Conditions:

When we propose changes to these Terms, we will post the revised Terms on the Outrent Platform and update the "Last Updated" date at the top of these Terms. We may revise these Terms and Conditions from time to time but the most current version will always be in the relevant section of the Outrent platform. Changes will usually occur because of new features being added to the Outrent Platform, changes in the law or where we need to clarify our position on something. Normally, we will try to give you some warning before the new terms become effective. However, sometimes changes will need to be made immediately and if this happens, we will not give you any notice.

Acceptance and Cancellation

You may accept or reject any request from a Borrower to enter into a Lending Transaction at your sole discretion. Once you enter into a Lending Transaction with a Borrower, you agree to be responsive to the Borrower and to communicate with them to coordinate the delivery and return of the Item.

Borrower Representations and Warranties

By submitting a request to enter into a Lending Transaction with a Lender , you represent and warrant that: (i) you have read and accepted the description of the Item provided by the Lender ; (ii) you have the funds available to cover the required payments to rent the Borrower Fees and any late charges for any Items retained after the rental period; (iii) you accept responsibility for the Items and agree to pay any late fees and charges in accordance with terms of this Section; and (iv) you agree to use the Items in compliance with any and all applicable laws, rules, and regulations.

Disputes resolution:

You are solely responsible for your interactions with other Users - including, but not limited to, any Lending Transactions. We reserve the right, but have no obligation, to monitor disputes between you and other Users. Outrent shall have no liability for your interactions with other Users, or for any User's action or inaction. Outrent is committed to participating in a consumer-friendly dispute resolution process. We encourage users to resolve any disputes directly. If, as a borrower, you have lost or damaged an item, you are responsible for reimbursing the lender immediately for the full value of repairing the item (if possible) or replacing it. If you are a lender, you may provide proof of purchase, photos of any damage caused to an item, or any other evidence to support your claim for reimbursement from a borrower. Where you claim that a borrower has damaged an item, you can provide photos of your item taken before it was provided to a borrower, to support your claim that any damage was caused by the borrower (and was not present at the start of the hire period).

If you have a dispute with us relating to the Outrent Platform, in the first instance please contact us at [email protected]. In the unlikely event that we have not been able to resolve a dispute informally, we will discuss and agree with you the most effective way of resolving our dispute.

Prohibited Items

You will not list or loan the following Items on the Outrent Platform: (i) alcohol, tobacco, drugs and drug paraphernalia; (ii) illegal items, items promoting illegal activity and highly regulated items; (iii) pornography or mature content; (iv) items that violate the Intellectual Property Rights or other proprietary rights of any third party; (v) animals and animal products; and/or (vi) any Items that are not clean or in good condition. Outrent reserves the right to amend this list of prohibited Items at any time and for any or no reason and to otherwise remove any Items listed on the Outrent Platform, whether or not they are included on this list of prohibited Items.

No Guarantee of Business and Risk/Claims

Outrent does not guarantee business from the leads generated. Outrent shall not be responsible or liable at all to the Advertiser if no business or business leads are generated for the Advertiser through paid ads or featured ads on the Website. Advertiser understands that Outrent's only obligation is to place the ads on the Website in the manner provided for in these Terms. Accuracy of the information/content provided is the advertiser's responsibility and Outrent will not be held responsible for false claims made by the advertiser.

When you lend an Item to a Borrower as part of a Lending Transaction, you acknowledge and agree that you are entering into a transaction with the applicable Borrower - not Outrent. You acknowledge that there are risks inherent to lending your items to borrowers in connection with a lending transaction - including, but not limited to, loss or destruction of your items and that you assume all risk in connection with lending your items through the outrent platform. Without limiting any other provision in these terms and to the maximum extent permitted by applicable law, you expressly waive and release outrent from any and all liability, claims, causes of action, or damages arising from your use of the outrent platform as a lender, including without limitation any liability arising out of or related to any lending transactions that you may enter into on the outrent platform.

No Warranty

The outrent platform is provided on an "as is" and "as available" basis. Use of the outrent platform is at your own risk. To the maximum extent permitted by applicable law, the outrent platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No advice or information, whether oral or written, obtained by you from outrent or through the outrent platform will create any warranty not expressly stated herein. Without limiting the foregoing, outrent, its subsidiaries, its affiliates, and its licensors do not warrant that the content is accurate, reliable or correct; that the outrent platform will meet your requirements; that the outrent platform will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the outrent platform is free of viruses or other harmful components. Any content downloaded or otherwise obtained through the use of the outrent platform is downloaded at your own risk and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from such download or your use of the outrent platform.

Outrent does not warrant, endorse, guarantee, or assume responsibility for any product or platform advertised or offered by a third party through the outrent platform or any hyperlinked website or platform, and outrent will not be a party to or in any way monitor any transaction between you and third-party providers of products or platforms.

Notifications

Outrent may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by Outrent in our sole discretion. Outrent reserves the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in these Terms. Outrent is not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us.

Complaints & Feedback

If you need to contact us in relation to these Terms and Conditions or any other document mentioned in them, please email us at [email protected]. We value hearing from our users, and are always interested in learning about ways we can improve the Outrent Platform. By providing your feedback you agree that you are giving up any rights you have in your feedback so that we may use and allow others to use it without any restriction and without any payment to you.

Outrent's Paid Services

We may charge a fee to post content in or utilize some areas of the Service ("Paid Services"). By posting Paid Services on the Website you enter into an agreement with OUTRENT India, the terms of which are set out herein. Provisions of the Terms relating to the Content shall also be applicable to Paid Services. Further, you continue to be bound by the Terms in connection with your use of the Website and the Services. Currently, we offer the following kinds of features for Paid Services. Only some of these features may be made available to you by us, depending on your usage, category, geographical location, and medium of purchase. The terms of Paid Services and the relationship between you and OUTRENT India shall be governed by the laws of India. Any claim you may have against OUTRENT India must be submitted to the exclusive jurisdiction of the courts of India. We reserve the right to modify the price at which these features are made available to you:

Featured Ads

Featured Ads is a feature that enables the display of your advertisement in a designated area of the Website and/or in a highlighted manner (depending on the platform the content is being viewed), so as to distinguish it from other content posted on the Website. In the designated area of the Website pertaining to Featured Ads, Features Ads are listed in a sequential manner. Therefore, it is possible that a particular Featured Ad is not visible to you each time you browse through the Website.

This feature has been provided to enable users to draw attention to their advertisements and increase the likelihood of receiving responses from potential buyers. We do not guarantee an increase of a specified quantum in the responses received by you and any representation on the Website in this regard is merely indicative.

The duration for which your Ad will be displayed as a Featured Ad shall be the number of days specified at the time of purchasing the feature. There is no limit on the volume of Featured Ads you may post on the Website. You can purchase a single or multiple Featured ads based on your requirement and such packages may be provided to you at a discounted price as mentioned on the Website. OUTRENT reserves the right to limit the extent and manner in which Featured Ads may be edited by you.

Paid Ads

The paid ad is a feature, which enables you to post ads even after you have exhausted your free ad limits. Free limit defines the number of advertisements that you can post for free within a defined periodicity and this limit may differ across categories, usage, and geographical location. For instance, if you have posted 3 advertisements in the last 30 days and the free limit is 3 advertisements per month, you will not be allowed to post a free advertisement after you have posted your third advertisement. All advertisements posted by you through your account will be counted towards free limits.

You can either purchase a single Paid ad or can avail of bulk Business packages ("Business Ad package") based on your requirement which shall be provided to you on the Website.

The validity of Paid ads:

Paid ads in this package shall each be valid for 30 days or more from the date of posting depending on the ad package purchased.

If you purchase Multiple Ad Package or Business ad package can post multiple ads during the validity of the package. The advertisement will only remain valid during the validity of the package.

Payment for Paid Services

Upon selecting any feature of Paid Services, you may be redirected to a third-party payment processing site such as RazorPay offering payment through various channels such as net banking, debit card and credit card ("Payment Gateway"). You agree that Paid Services will be made available to you only upon receipt of payment confirmation from the Payment Gateway. Upon making payment to us, through any medium whatsoever, you warrant to us that you are entitled to use the medium or otherwise make the payment to us under applicable law.

You have the ability to provide us your Goods and Services Tax Identification Number (GSTIN) on the platform. Your GSTIN details are mandatory for passing on the credit of GST charged. In case you fail to provide us with your GSTIN details, we will assume that you are not registered with the GST authorities, without independently verifying your registration status.

Unless otherwise mentioned on the Website, prices indicated are inclusive of applicable taxes.

Refunds & Cancellations

If you choose to delete or deactivate any Paid Services prior to the period for which it is active, we will not be liable to refund you for any unutilized time. In the event you are not able to avail of the Paid Services on the Website on account of any technical reasons, on receipt of payment confirmation, equivalent units of the paid feature against the ad units you were not able to post shall be credited to your account. For example, if you buy a package of 3 Featured Ad units out of which you have consumed only 2 units and were unable to post the remaining 1 ad unit as a Featured Ad on account of a technical glitch during the package validity, you will be credited only 1 unit of Featured Ad to your account.

The above refund policy shall not be applicable in the event any content in your advertisement is found to be violating the Terms or there has been any abuse reported in relation to your advertisement or your advertisement is deleted or not re-posted on the Website on account of any technical reasons due to any subsequent editing done by you.

Termination

In addition to the other requirements within these Terms and Conditions, this section describes specific rules that apply when using the Outrent Platform. You must not: (a) circumvent, disable or otherwise interfere with any security related features of the Outrent Platform; (b) give any false or misleading information, impersonate any person or permit any other person to use the Outrent Platform under your name or on your behalf unless such person is authorised by you; (c) use the Outrent Platform if we have suspended or banned you from using it; (d) advocate, promote or engage in any illegal or unlawful conduct or conduct that causes theft, loss, damage or injury to any person or property; (e) promote or advertise any goods or platforms, other than items you, as a lender, make available for hire through the Outrent Platform; (f) send any unsolicited marketing communications through the Outrent Platform; (g) modify, interfere, intercept, disrupt or hack the Outrent Platform; (h) misuse the Outrent Platform by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm any of the Outrent Platform or any user of the Outrent Platform's own equipment; (i) collect any data from the Outrent Platform other than in accordance with these Terms and Conditions; (j) submit or contribute any User Content that contains nudity or violence or is abusive, threatening, obscene, misleading, untrue or offensive; (k) submit or contribute any User Content that you do not own or have the right to use or otherwise infringe the copyright, trademark or other rights of third parties; (l) use any User Content in violation of any licensing terms specified by the owner; (m) other than leaving reviews about lenders or items, submit or contribute any information or commentary about another person without that person's permission; (n) threaten, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person (including but not limited to other users, and Outrent employees); (o) use any automated system, including without limitation "robots", "spiders" or "offline readers" to access the Outrent Platform in a manner that send more request messages to the Outrent Platform than a human can reasonably produce in the same period of time; (p) enter into any agreement to rent any item other than through the Outrent platform with any other user who you initially met through the Outrent Platform. Failure to comply constitutes a serious breach of these Terms and Conditions, and may result in our taking all or any of the following actions (with or without notice): (a) immediate, temporary or permanent withdrawal of your right to use the Outrent platform or any other portion of the Outrent Platform; (b) immediate, temporary or permanent removal of any User Content; (c) issuing of a warning to you; (d) legal action against you including proceedings for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; (e) disclosure of such information to law enforcement authorities as we reasonably feel is necessary and we may take any other action we reasonably deem appropriate.

If at any time you do not feel that you can agree to these Terms and Conditions or any changes made to these Terms and Conditions or the Outrent Platform, you must immediately stop using the Outrent Platform. We may, without prior notice stop providing the Outrent Platform or features of the Outrent Platform, to you or to Users generally; or create usage limits, permanently or temporarily terminate or suspend your access to the Outrent Platform without notice and liability for any reason, including without limitation if in our sole determination you violate any provision of these Terms, or for no reason. Upon termination for any reason or no reason, you continue to be bound by these Terms.

Deleting the Outrent App might not close any Account you have created in relation to the Outrent Platform. You must notify us if you wish to close your Account by contacting us using the details and functionality, and we will end your use of the Outrent Platform. We may immediately end your use of the Outrent Platform if you break the Rules of Acceptable Use, any other important rule(s), or terms and conditions we set for accessing and using the Outrent Platform including these Terms and Conditions. We may also withdraw any part of the Outrent Platform at any time and will notify you if we feel it will significantly affect your usage of the Outrent Platform. If you or we end your use of the Outrent Platform or we withdraw Outrent Platform as described in this section, we may delete your User Content, any other information that you have uploaded to the Outrent Platform or any other information we hold about you. You will also lose any rights you have to use the Outrent Platform or to access our content or your User Content. You should therefore ensure that you keep a copy of any information or content you use on the Outrent Platform, as well as your User Content, as we will not offer you compensation for any losses you might suffer if you lose your rights to access and use the Outrent Platform or any such information, content or User Content. The termination of your use of the Outrent Platform and the cancellation of your Account shall not affect any of your obligations to pay any sums due to us.

Liability

In no event shall Outrent, its officers, directors, employees, or agents, be liable for direct, indirect, incidental, special, consequential, or exemplary damages (even if Outrent has been advised of the possibility of such damages), resulting from any aspect of your use of the platform or the service, including without limitation whether the damages arise from use or misuse of the platform or the service, from inability to use the platform or the service, or the interruption, suspension, modification, alteration, or termination of the platform or the service. Such limitation of liability shall also apply with respect to damages incurred by reason of other services or products received through or advertised in connection with the platform or the service or any links on the platform, as well as by reason of any information, opinions or advice received through or advertised in connection with the platform or the service or any links on the Outrent site. These limitations shall apply to the fullest extent permitted by law. You specifically acknowledge and agree that Outrent shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any user or third party and that the risk of harm or damage from the foregoing rests entirely with you. While we will do our best to ensure that the Outrent platform itself is of a reasonable standard and quality and matches any descriptions we have provided you, the Outrent Platform and any other portion of the Outrent Platform may contain some content owned or developed by third parties. As we do not own or produce such third-party content, we cannot be responsible for it in any way. In addition, due to the nature of the Internet and technology, the Outrent Platform is unfortunately provided on an "as available" and "as is" basis. This means that we are unable to promise that your use of the Outrent Platform will be uninterrupted, without delays, error-free or meet your expectations and we do not give any commitment relating to the performance or availability of the Outrent Platform in these Terms and Conditions and, to the extent we are able to do so, we exclude any commitments that may be implied by law. In the event of a claim arising out of the provision of the Outrent Platform, our responsibility to you will never be more than the amount you have paid us for the ad listing and, in the event that you have not paid us any money, we shall have no responsibility whatsoever to you. In every case, we will never be responsible for any loss or damage that is not reasonably foreseeable, including our responsibility to you for any personal injury or death caused by our negligence. The same applies to the assumption of guarantees or any other strict liability, or in case of a culpable injury to life, limb, or health. Outrent will always remain excluded from any sort of additional liability.

You further agree that we are not liable for any loss of money, goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of the site or as a result of any use of goods and services with other users of the site. We also cannot guarantee continuous or secure access to our Services. Accordingly, to the extent legally permitted we exclude all implied warranties, of merchantability, fitness or quality of the Site and our services.

Indemnity

To the maximum extent permitted by applicable law, you agree to indemnify and hold Outrent, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from (i) your use of and access to the Platform and/or the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, trademark, trade secret or other property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

Outrent makes no representations or warranties that the platform is appropriate for use in other locations. Those who access or use the platform from other jurisdictions do so at their own volition and risk and are responsible for compliance with local law. This defence and indemnification obligation will survive termination, modification, or expiration of these Terms and your use of the Service and the Platform.

Governing Law

This Terms & Conditions shall be governed and construed in accordance with the laws of the Republic of India and the courts of Maharashtra and shall have exclusive jurisdiction on all matters and disputes arising out of and relating to the Site.
